Guitar Goddess Contest Rules and Regulations

OFFICIAL RULES AND REGULATIONS

1. Sponsor: Fahrenheit Entertainment, Inc.

2. Eligibility: Guitar Goddess Competition (“Competition”) is open to women worldwide, who are at least 16 years of age and no older than 65 years of age as of the date of entry . Applicants may play acoustic or electric guitar, and must be comfortable playing in front of live as well as studio audiences. Void wherever prohibited by federal, state or local laws. Employees of Sponsor and its affiliates, subsidiaries, advertising agencies, and their immediate families or household members are not eligible to win. In addition, persons who have talent or management representation or have a recording contract, talent contract, acting contract, merchandising contract, business contract or other contract of a similar nature at anytime during the Competition Period are ineligible.

3. Competition Period: The Competition begins at 12:01 AM (EST) on Saturday, September 1st, 2009 and ends on 11:59 PM (EST) on Monday, November 3rd, 2010(the “Competition Period”).

4. How to Enter: To enter the Competition, visit www.guitargoddess.com and follow the instructions provided. Entrants will be required to clearly state their name, address, sex, age, ten digit day and evening telephone numbers and e-mail address in the time period provided. Entrants will subsequently be requested to upload a video of them singing a song of their own composition and playing guitar to a tune similarly composed by the entrant. The entrant’s lyrics must include language suitable for a mixed audience of all ages. Lyrics containing coarse, vulgar, and/or sexually explicit language will be ineligible. The song length should be no longer than 2 minutes. Entrants may enter the Competition as often as they like, but entry is limited to one entry per person per day and each entry requires a $25.00 entry fee. No refunds will be given.

5. Prize: One (1) winner will receive a one (1) album recording contract with Sponsor, on terms and conditions to be determined by Sponsor, additional awards listed below. Contract will include a cash advance to the winner in the amount of $15,000 and will provide for the advance of production, promotion and marketing expenses in an amount to be determined by Sponsor, but not more than $500,000. Such advanced amounts will be recoupable by Sponsor in a manner consistent with the general custom and practice in the recording industry. The prize is non-transferable and no substitution by winner or cash equivalent is permitted. Sponsor reserves the right to substitute the prize for one with a retail value of at least $15,000 in its sole discretion. Twelve (12) contestants will be invited to the live semi-final competition which will take place in Los Angeles, California and 2 contestants will reach the finals, awarding them an invitation to Athens,Greece for the Final Competition which will be broadcast on television. The grand prize winner will also receive a Victress Guitar Goddess guitar, a fifty (50) city concert tour, and a professional quality music video. All taxes on prize are winner’s sole responsibility.

6. Judging and Selection of Winner: All entries will be judged by a panel of music industry professionals, who are experts in the music industry. Entries will be judged and awarded the points on the following criteria: 1) voice quality (1-33 points), 2) composition of lyrics (1-34 points), and 3) guitar playing skills (1-33 points ). 12 contestents, will be invited to appear on the Guitar Goddess Reality TV Show, during which they will be re-judged based on the same criteria for performances with the Guitar Goddess House Band of tunes selected for the contestants by the Sponsor. Contestants must be able to travel on the dates specified by Sponsor or they will be disqualified. The decisions of the judging panel are final on all matters relating to the Competition. Winner will be selected on or about December, 2009. Contestant will be required to sign and return to Sponsor an affidavit of eligibility, liability/publicity release and royalty-free license to the entered lyrics within ten (10) days of the date of winning notification, otherwise the prize will be forfeited, and the entrant having the next highest score will be deemed to be the winner. Thereafter, the winner will be required to execute the standard form of Recording Contract provided by Sponsor and deliver the duly-executed Recording Contract to Sponsor within ten (10) days of the date the document is delivered to the winner by Sponsor. In the event of non-compliance with any of these requirements, his/her prize will be forfeited, and the entrant having the next highest score will be deemed the winner.

7. Additional Conditions: By entering, each entrant warrants and represents in connection with the lyrics submitted as part of his/her entry that: (a) he/she is the sole author of such lyrics; (b) the lyrics are original and not derived form any existing copyrighted work: (c) he/she has all necessary rights to grant Sponsor the license set forth below; (d) the lyrics have not been previously published or submitted in any other competition(s) and/or to any person or entity for use in any media, including, without limitation, any books, magazines, postcards or calendars; (e) the lyrics do not defame or otherwise violate the rights of any third party; (f) the lyrics do not violate any federal, state or local laws or ordinances; and (g) the recording made in connection with the Competition entry was personally performed by the entrant. Any entry in this Competition shall remain the exclusive property of entrant and entrant grants to Sponsor and its designees a perpetual, worldwide right and license to edit, publish and use the lyrics in any way and in any media for trade, advertising, promotional and/or other purposes as Sponsor may determine in its sole discretion without further consideration to entrant or winner. Entrant agrees to hold harmless Sponsor, its officers, directors, employees, divisions, affiliates, subsidiaries, advertising and promotional agencies, from any claim by any third party relating to any rights in any lyrics submitted. By participating in the Competition, entrant agrees to be bound by these Official Rules, including all eligibility requirements and all decisions of Sponsor. Sponsor is not responsible for any: (a) lost, late, illegible, misdirected, damaged, incomplete, or garbled entries; or (b) telephone network malfunction or error. If such malfunction or error occurs or impairs the administration, security, fairness, or integrity of the Competition, Sponsor may, in its sole discretion, suspend, modify or terminate the Competition by posting a notice at www.guitargoddess.com if the Competition is terminated before the scheduled end of the Competition Period, Sponsor will determine the winner from all eligible entries received as of the termination date. Persons found tampering with or abusing any aspect of the Competition, or whom Sponsor believes to be causing any malfunction, error, disruption, or damage will be disqualified. Sponsor reserves the right to disqualify any unauthorized entries. Entering the Competition constitutes permission to use the winning lyrics, name, voice, image and likeness of the winner for advertising and publicity purposes, without further compensation.

8. Release of Liability: By participating in the Competition, entrant agrees to hold Sponsor and its officers, directors, employees, agents, affiliates, subsidiaries, and parents harmless from any and all liability, claims, or actions of any kind, including, without limitation, a breach of the representation and warranties contained herein, property damage, personal injury, and/or death, arising out of his or her participation in the Competition, and acceptance and/or use or misuse of the prize in connection with the Competition. In addition, entrant agrees that the above-mentioned entities are in no manner responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Competition and/or the prize.

9. Legal Warning: Any attempt by an individual, whether or not an entrant, to deliberately damage, destroy, tamper or vandalize this website or interfere with the operations of the Competition, is a violation of criminal and civil laws, and Sponsor reserves the right to seek damages and diligently pursue all remedies against any such individual to the fullest extent permitted by law.

10. Name of Winner: For the name of the winner, log on to www.guitargoddess.com after December 2010.
